BY-LAWS OF THE NURSES' CHAPTER OF THE ALUMNI ASSOCIATION  OF THE AMERICAN UNIVERSITY OF BEIRUT


ARTICLE I           THE NAME               Top

  The name, of this association shall be "The Nurses' Chapter of the Alumni
  Association of A.U.B."

ARTICLE II          THE OBJECTIVES    Top

  1. To bind together the graduates of the School of Nursing so they can work toward
      maintaining and promoting their professional standards.

  2. To help in advancing the professional interests of the graduates of the School of
      Nursing of A.U.B. .

  3. To cooperate with the School of Nursing toward continued progress in nursing
      education.

  4. To advance the standards of nursing practice.

  5. To work closely and in harmony with the mother association, and the national
      nurses associations towards development of the nursing profession.

ARTICLE III         MEMBERSHIP         Top

  1. Active

    a. Graduates of the School of Nursing of A.U.B. are active members of the Chapter
        upon payment of a yearly due, which is decided upon by the Executive Committee
        and set in the By-Laws.

    b. Only active members in good standing are entitled to vote and hold office.

  2. Associate Membership

    a. May be conferred upon:

        1. Former students who were connected for at least two  academic years with the
            School of Nursing at A.U.B. and who have subsequently graduated as
            professional nurses from anotherr institution.

       2. Professional nurses from other schools of nursing who have completed a
           post-basic program (of at least one academic year) at A.U.B. School of Nursing.

    b. Associate members shall be eligible for all privileges except those of voting and
        holding office.

  3. Honorary

     a. Any person not eligible for active or associate membership, and who renders the
         Nursing Chapter of A.U.B. Alumni or the A.U.B. School of Nursing an outstanding
         service, may upon recommendation of the Executive Committee be elected
         honorary life member by two-thirds majority vote of the General Assembly.

     b. Honorary members shall be eligible for all privileges except those of voting and
         holding office.

ARTICLE IV          ORGANIZATION        Top

  1. The Nurses' Chapter of the Alumni Association of A.U.B. shall consist of:

    a. A general assembly composed of all active, associate and honorary members.

    b. An executive committee consisting of:

    • President

    • Vice President

    • Secretary

    • Corresponding Secretary

    • Treasurer

    • Chairperson of the Social Committee

ARTICLE V            FUNCTIONS OF THE EXECUTIVE COMMITTEE  MEMBERS       Top

  1. The Executive Committee shall manage and control the affairs, funds and property
      of the Nurses' Chapter. It shall form, of its members and the members of the
      General Assembly, various committees to carry out special functions.

  2. The President:

     a. Shall represent the Chapter at official functions.

     b. Shall preside at all meetings of the General Assembly and the Executive
         Committee.

     c. Shall be the official representative of the Chapter in the Alumni Council of A.U.B.

     d. Shall sign all agreements on behalf of the Chapter with the consent of the
         Executive Committee members.

     e. Financial agreements shall be signed with the Treasurer.

  3. The Vice President:

     a. Shall be the Chairperson of the Professional Development Committee.

     b. Shall assume the duties of the President during her/his absence. In case of
         resignation, disability, or death of the President, the Vice President shall take
         over for the remainder of the term of office of the President.

  4. The Secretary:

     a. Shall keep minutes of the meetings of the General Assembly and the Executive
         Committee and perform other duties usually attached to this office.

     b. Shall submit an annual report on activities of the Chapter to the Executive
         Committee for approval, before presenting it to the General Assembly in the
         Spring meeting. A copy will be kept on record.

     c. Shall carry out the duties of the Corresponding Secretary during the absence
        of the latter.

  5. The Corresponding Secretary:

     a. Shall be the Chairperson of the Membership and Public Relations Committee.

     b. Shall carry out the duties of the Secretary during the absence of the latter.

  6. The Treasurer:

     a. Shall be the Chairperson of the Finance Committee.

     b. Shall account for all funds of the Chapter.

     c. Shall pay all bills after they have been voted upon by the Executive Committee
         and countersigned by the President.

     d. Shall submit an annual report of the budget and expenditures of the Chapter to
         the Executive Committee for approval before presenting it to the General
         Assembly in the Spring meeting. A copy will be kept on record.

ARTICLE VI    ELECTIONS OF THE MEMBERS OF THE EXECUTIVE COMMITTEE  Top

  1. Members of the Executive Committee shall be elected by Active members in good
      standing of the General Assembly for a term of three years. The Executive
      Committee members will hold office until their successors are elected.

  2. All members of the Executive Committee are eligible for re-election at the end of
      term of office.

  3. In case of death, resignation or repeated absence (3 consecutive meetings)
      without a valid reason, of any member of the Executive Committee, excluding the
      President, the Executive Committee shall appoint, by a two thirds vote, a member
      to fill in the office for the rest of the term.

  4. An Adhoc nominating committee of 3 active members shall be appointed by the
      Executive Committee two months prior to elections. This committee shall be
      responsible for the elections. Candidates willing to serve on the Executive
      Committee may present their names to the Nominating Committee supported by
      signature of two active members.

ARTICLE VII         MEETINGS           Top

  1. The Executive Committee shall meet once a month during the academic year
      or more often at the request of the President, or at the written request of half of
      the members of the Committee.

  2. The General Assembly shall:

     a. Hold an annual business meeting in Spring, at which time the elections shall take
        place and the Executive Committee shall present its annual report.

     b. Meet in June to inaugurate the new graduate nurses.

     c. Meet as deemed necessary:

        1. At the President's discretion.

        2. At the decision of the Executive Committee

        3. At the written request often active members.

  3. A minimum of30 voting members present, two of whom shall be Executive
     Committee members, shall constitute a quorum, provided announcement is sent to
     all members at least two weeks before the meeting. In the absence of a quorum, a
     second meeting shall be called after any lapse of time at which any number of
     members present will constitute a quorum.

ARTICLE VIII       STANDING COMMITTEES           Top

       The Executive Committee nominates chairpersons of the standing committees. The
  chairpersons present the names of members to serve on each committee to the
  Executive Committee for approval.Standing Committees are as follows:

    1. Finance Committee

        a. This committee shall consist of three members and a chairperson who is the
           treasurer of the Chapter.

        b. It shall prepare a budget of expenses for the year and shall advise as to
            expenditure and investment of funds.

        c. It shall be responsible for collecting dues from the members.

        d. It shall devise means for fund raising.

    2. Memberships and Public Relations Committee

        a. This committee shall consist of five members and a chairperson who is the
           corresponding secretary.

        b. It shall keep in contact with members in Lebanon and abroad.

        c. It shall keep an up-to-date address list of the members.

        d. It shall be responsible to issue a yearly circular giving news about the
            Association, its members and the School of Nursing.

       e. It shall devise ways and means to stimulate graduates to become active
          members and attend all meetings.

    3. Social Committee

       a. This committee shall consist of five members and a chairperson.

       b. This committee shall be responsible to prepare and set up programs for
           social activities of the General Assembly.

       c. It shall prepare for the social part of the business meetings of the General
         Assembly or other nurses' alumni functions.

  4. Professional Development Committee

       a. This committee shall consist of at least five members and a chairperson
           who is the Vice President.

       b. It shall be responsible to provide means to facilitate the participation of
          professional  nurses in all matters affecting  nursing practice.

       c. It shall plan for and conduct professional programs at least once annually.

  5. Nurses' House Committee

       a. This committee shall consist of three members and a chairperson.

       b. There shall be separate financial account for the nurses' house fund.

       c. This committee shall be responsible to see that the use of the Nurses'
           House fund is in line with the original purposes for which the fund was
           raised-namely:

            1. A home for retired nurses.

            2. A conference center for nurses.

            3. An international nurses' center serving as a guesthouse for visiting
                and/or short-term convalescent nurses.

       d. This committee shall be able to utilize any income generated by the House
          for providing financial assistance towards higher education.

ARTICLE IX           MEMBERSHIP FEES              Top

    Active and associate members shall pay an annual membership fee that shall
    be set by the Executive Committee.

ARTICLE X              AMENDMENTS                     Top

     1. Amendments may either be proposed by the Executive Committee or by any
         ten active members who submit to the Executive Committee proposed
         amendments, duly signed, at least six weeks before the business meeting.

     2. The Executive Committee shall make the proposed amendments public to the
         members three weeks before the business meeting.

     3. The constitution may be amended at a meeting of the General Assembly by a
         two-third-majority vote of the members present.
